Vertragsgestalter, die in oder für international agierende Unternehmen tätig sind, stehen zunehmend häufiger vor der Aufgabe, Arbeitsverträge auch in englischer Sprache erstellen zu müssen. Dies wird vor allem dann praktisch, wenn es darum geht, Arbeitsverträge für Führungskräfte oder auch Anstellungsverträge für Organmitglieder zu entwerfen, die sich ihrerseits selbst in einem internationaleren Umfeld bewegen und an deren Anstellung häufig Entscheider und Ansprechpartner in anderen Ländern beteiligt sind. Das folgende Muster bietet eine Grundlage für die Gestaltung eines solchen Arbeitsvertrags. Es ist inhaltlich mit dem unter § 5 A. bereits vorgestellten Muster eines unbefristeten Arbeitsvertrags (ohne Tarifbindung) identisch. Im Sinne einer genderneutralen Sprache wird im Muster – einer im angelsächsischen Sprachraum inzwischen verbreiteten Praxis folgend – das Pronomen "they" im Singular zur neutralen Bezeichnung der Arbeitnehmerseite verwendet.

EMPLOYMENT CONTRACT

The following Employment Contract is made between

[First and Last Name and Address of Employee]

– hereinafter referred to as the "Employee" –

and

[Name/Company, Address of Employer]:

– hereinafter referred to as "Employer" –

Section 1 Beginning and Content of the Employment Relationship

(1) The Employee shall be hired as of _________________________ as _________________________ for the business in _________________________ as their place of work.

(2) The Employer reserves the right under Sec. 106 Industrial Code (§ 106 Gewerbeordnung) to assign the Employee, upon due consideration of their legitimate interests, to another place of work or to assign other reasonable, equivalent work to the Employee in keeping with their abilities.

(3) Furthermore the Employer is entitled to deploy the Employee in the event of urgent business grounds for work of an equivalent nature in keeping with their education and abilities, at another group company.

Section 2 Working Hours

(1) The regular work week is made up of _________________________ hours.

(2) The Employee shall devote their entire work effort to the Employer and promote the Employer's interest to the best of their ability. Where directed to do so by the Employer, the Employee is obliged to work overtime up to the maximum statutory work hours as required on business grounds. The same applies for night work, shift work and work on Saturdays, Sundays and holidays, as well as for stand-by and on-call work.

Section 3 Compensation

(1) The Employee shall receive basic compensation in the gross amount of EUR _________________________ (in words: EUR _________________________) per month for their work. The basic compensation shall become due for payment on the last day of each calendar month and be remitted to a bank account to be designated by the Employee.

(2) The basic compensation under paragraph (1) hereof includes the payment for any overtime until the maximum statutory working time under Sec. 3 Working Hours Act has been reached. The Employee's claims to the statutory minimum wage are not affected by this provision.

(3) In addition to the basic compensation under paragraph (1) of this section, the Employer shall grant the Employee an annual Christmas bonus in the gross amount of EUR _________________________. The Christmas bonus is paid out with the pay for the month of November. The Employer reserves the right to withdraw this benefit in the event of financial distress.

Section 4 Company Car

(1) The Employer shall provide the Employee with a company car from the _________________________ vehicle class. The Employer is also permitted to use this company car without charge for private purposes. The Employee is responsible for the proper taxation of the financial benefit of such private use.

(2) The Employee is obliged to treat the company car provided to them with care and to always maintain it in an operable and roadworthy condition. The necessary repairs and scheduled service checks are to be conducted in coordination with the Employer.

(3) The provision of the company car to third parties (including the Employee's spouse, partner, children or parents) is not permitted.

(4) Using the company car is only permitted if and for as long as the Employee has a valid driver's license.

(5) The Employer reserves the right to revoke the use of the company car, including private use, if the duties or the position of the Employee change in such way that the use of a company car is no longer necessary for the new duties or position and if comparable employees with such duties/position are not provided a company car. Furthermore, the Employer reserves the right to revoke the use of a company car in the event the Employee is released from work duties following a termination of the employment relationship.
